Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY

1. Introduction

These Terms of Service (“Terms”) govern the use of Offload’s platform, tools, applications and related services (“Services”) by mental health professionals (“Therapists”, “you”). The Services are provided by:

By creating an Offload account or using the Services, you agree to these Terms.

2. Description of Services

Offload provides digital therapy tools for use in therapeutic practice, including:

  • Exercises and interventions

  • Journaling tools

  • Assessments

  • Secure messaging

  • Client management tools

  • Notifications and updates

Offload is a digital tool and is not a healthcare provider. Therapists remain fully responsible for all clinical decisions relating to their clients.

3. Account Registration

To use the Services, you must:

  • Be a qualified mental health professional or in supervised practice

  • Provide accurate account information

  • Maintain confidentiality of your login credentials

  • Ensure your use complies with applicable professional and legal obligations

You are responsible for all activity that occurs under your account.

4. Subscription & Payments

Offload operates on a monthly recurring subscription model.
Subscription fees may appear on our website and/or within the Offload platform.

By subscribing, you authorise Offload’s payment processor to charge the monthly fee until cancellation.

4.1 Non-Payment

If a payment fails or a subscription is cancelled:

  • Your account will revert to the free tier

  • You will lose access to all client data and client responses until a valid subscription is restored

  • Your account and data will be handled in accordance with our retention policy

4.2 Refunds

Refunds are not guaranteed and are assessed case-by-case.

5. Therapist Responsibilities

As a Therapist, you agree that:

  1. You act as the service provider to your clients, not Offload.

  2. You are fully responsible for:

    • Clinical decisions

    • Appropriateness of content assigned

    • Monitoring client wellbeing

  3. You will not use Offload as a substitute for emergency care or crisis services.

  4. You will comply with all applicable professional, ethical, and legal requirements.

  5. You must ensure that clients understand:

    • Offload is not therapy

    • Offload does not provide emergency support

    • Messaging is not monitored in real time

6. Prohibited Uses

You must not:

  • Copy, reproduce, or distribute Offload content

  • Impersonate any person or misrepresent your identity

  • Send harmful, abusive, or malicious messages

  • Interfere with platform integrity or security

  • Use the platform for any unlawful purpose

Offload may suspend or terminate accounts that violate these rules.

7. Intellectual Property

Offload retains all intellectual property rights in its platform, tools, content, software, and branding. Your subscription grants you a limited, non-transferable licence to use the tools solely for delivering therapy services to your clients.

You may not copy or redistribute any Offload materials outside the platform.

8. Messaging

Offload offers secure messaging for therapeutic communication.
The platform does not offer audio or video calling.
Messaging content is processed through a secure communications provider and deleted automatically after a short retention period.

You must not rely on messaging for urgent or emergency communication.

9. Data Protection & Privacy

Use of the Services is governed by Offload’s Privacy Policy.
Therapists act as data controllers for their clients’ personal data, and Offload acts as a processor/service provider.

You agree to comply with all applicable privacy laws (including GDPR if applicable and HIPAA where relevant).

10. Suspension & Termination

Offload may suspend or terminate a Therapist account if:

  • Subscription fees are unpaid

  • These Terms are violated

  • There is suspected fraud or security risk

  • There is harmful or unsafe use of the Services

  • Required by law or regulatory authorities

  • It is reasonably determined that continued use presents a risk to Offload, clients, or other users

Therapists may terminate their account at any time.

11. Effect of Termination

Upon termination:

  • Account access will be deactivated immediately

  • Therapist and client data will remain stored according to Offload’s retention policy

  • Client data will become inaccessible until subscription renewal

  • After the retention period (24 months inactivity), data will be deleted or anonymised

Users may request data export or deletion as described in the Privacy Policy.

12. Disclaimers

Offload provides tools to support therapeutic work but does not provide medical or psychological services.
Offload does not guarantee clinical outcomes or results.

The platform must not be used for crisis intervention or emergency care.

13. Limitation of Liability

Offload is not liable for:

  • Clinical decisions or outcomes

  • Loss of data due to non-payment or user actions

  • Service interruptions or downtime

  • Misuse of the platform by therapists or clients

Offload’s total liability shall not exceed the subscription fees paid in the 12 months prior to the claim.

14. Governing Law

These Terms are governed by the laws of England and Wales.
Disputes shall be subject to the exclusive jurisdiction of UK courts.

15. Changes to Terms

We may update these Terms from time to time.
We will notify you of material changes via email or in-app notification.
